NOVALISM Terms, Withdrawal Information and Consent Language

Part I — Terms & Conditions

1. Provider and scope

These Terms & Conditions (“Terms”) apply to contracts and participation arrangements with:

operating under the name NOVALISM (“NOVALISM,” “we,” “us,” or “our”).

These Terms govern the free NOVALISM community, Neurochange Membership, recorded courses and other digital products, Individual Guidance, Private Deliberate Reconstruction, Orientation Calls, free live sessions and any other offer that expressly incorporates these Terms.

An individual written offer, product description or order confirmation may contain terms specific to the selected offer. If a specific provision conflicts with these Terms, the individually agreed provision takes priority.

2. Participants, consumers and business clients

NOVALISM offers are available only to people aged 18 or older.

Offers may be purchased by consumers or by businesses. A consumer is a natural person who enters into a legal transaction primarily for purposes outside that person’s trade, business or profession. A business client is a natural or legal person or partnership acting in the course of its commercial or independent professional activity.

Where a business purchases access or services for an employee or another participant, the business is responsible for ensuring that the participant receives and follows the provisions relevant to participation, confidentiality, recordings, conduct and intellectual property.

Statutory consumer rights apply only where the client qualifies as a consumer.

3. Contract language and contract formation

The contract language is English. NOVALISM may communicate with or deliver services to a client in English, German or Czech where agreed, but translations or conversations in another language do not change the English contract unless expressly agreed in writing.

For products, memberships and bookings offered through WithMe, the product presentation is an invitation to place an order. The client submits a binding order by completing the checkout or booking process. The contract is formed when NOVALISM or the platform sends an order or booking confirmation or begins providing the ordered access or service, whichever occurs first.

Private Deliberate Reconstruction and any other bespoke engagement are contracted through an individual written offer. The contract is formed when the client accepts that offer in the manner stated in it.

The client must provide complete and accurate checkout, billing and contact information and keep it current.

4. Prices, taxes and payment

Consumer prices displayed by NOVALISM are final prices and include applicable value-added tax, where VAT applies. Any additional cost not included in the displayed price will be identified before the order is placed or in the individual offer.

Payments made through WithMe are processed through Stripe. The payment methods offered at checkout may vary. The client is responsible for ensuring that the selected payment method can be charged when payment becomes due.

Invoices and payment confirmations may be issued electronically.

If a payment is overdue, NOVALISM retains its statutory rights. Access to paid services or content may be suspended after an unsuccessful payment and a further unsuccessful collection attempt or notice, until the outstanding amount is paid. Suspension does not remove payment obligations that have already arisen.

5. Free community and free participation

The free NOVALISM community provides access to discussion, selected materials, announcements and occasional free sessions. Free access does not create an entitlement to a particular amount, schedule or continuation of content.

Participants must communicate respectfully and must not:

harass, threaten or discriminate against another person;

publish unlawful, misleading or infringing material;

advertise, solicit clients or promote unrelated offers without prior permission;

share another person’s personal or confidential information without authorization;

copy, record or redistribute NOVALISM materials or another participant’s contribution;

disrupt sessions, misuse the platform or attempt to bypass access controls; or

use the community as a substitute for emergency, medical, psychological or therapeutic support.

NOVALISM may moderate or remove content and may warn, suspend or remove a participant whose conduct violates these Terms, applicable community rules, the rights of others or the safe operation of the community. Serious violations may result in immediate removal.

Community spaces are shared spaces. Participants should not disclose information they would not want other members to know. NOVALISM asks members to respect confidentiality but cannot guarantee that another participant will do so.

NOVALISM may change or discontinue a free offer. Where reasonably possible, participants will be informed in advance.

6. Neurochange Membership

Unless the checkout states otherwise, Neurochange Membership begins with a 10-day free trial. A valid payment method may be required when the trial begins. If the member does not cancel before the trial ends, the membership automatically becomes a paid monthly membership and the first monthly payment is charged.

After the trial, membership renews automatically for successive one-month billing periods until canceled. The member may cancel at any time through the available account or platform function. Cancellation takes effect at the end of the current trial or paid billing period, and access continues until that period ends unless access is suspended for breach or nonpayment.

The membership price accepted at signup remains the member’s price for as long as that membership continues without interruption. Price changes apply only to new memberships. If a member cancels and later returns, the membership begins at the price offered at that later time.

Membership content, schedule, exercises and live-session format may develop over time. NOVALISM may make reasonable changes for valid operational, educational, technical, legal or safety reasons, provided that the essential character of the membership is preserved and no additional charge is imposed on an existing member. Statutory rights concerning material changes to digital products remain unaffected.

Neurochange group-session replays are normally available to members for seven days. A replay is not a permanent part of membership access unless expressly identified as such.

7. Recorded courses and digital products

Recorded courses, including Portals & Roses, and future digital products are streamed through WithMe or another platform identified at checkout. Access normally begins immediately after successful payment and completion of any legally required immediate-access consent.

Unless a product description expressly states otherwise:

the product is prerecorded, although parts may have been recorded during a live session;

access is for streaming only;

no right to download the videos or materials is granted;

access continues while NOVALISM keeps the product hosted and available to existing purchasers; and

updates added to the hosted product are included without an additional charge.

“Access while hosted” is not a promise of lifetime, permanent or perpetual access. NOVALISM may stop hosting a product for a valid legal, technical, security, platform, business or educational reason. Where an ending of access is foreseeable and not urgent, NOVALISM will provide reasonable advance notice. Mandatory rights relating to digital products remain unaffected.

NOVALISM may correct errors, maintain security, update technical delivery and improve or expand a course. Changes that materially impair a consumer’s access or use are governed by the applicable statutory rules.

8. Individual Guidance

Individual Guidance is a 13-week engagement with 13 agreed units. The professional fee is €2,900, payable in full before the engagement begins unless an individual written agreement states otherwise.

All units are intended to be used within the agreed 13-week period. Unused units normally expire when that period ends. NOVALISM may agree to an exception for serious circumstances, but the client has no automatic entitlement to an extension. Every extension must be agreed in writing.

An appointment may be rescheduled once with at least 24 hours’ notice. If the client cancels with less than 24 hours’ notice, does not attend or is too late for the session to be meaningfully delivered, the corresponding unit is treated as used. NOVALISM may make an exception in serious circumstances at its discretion.

If NOVALISM must reschedule an appointment, the unit remains available and a replacement time will be agreed.

Interactive one-to-one work requires the client’s camera and microphone to be on unless NOVALISM agrees otherwise for a particular session. This participation requirement is separate from recording consent.

9. Private Deliberate Reconstruction

Private Deliberate Reconstruction is a bespoke live immersion lasting 7–10 days. The professional fee is €20,000.

The immersion takes place at a location mutually agreed in the individual written offer, ordinarily so that NOVALISM can meet the client in the client’s own surroundings. It is a professional reconstruction engagement, not a vacation or travel package.

The professional fee covers NOVALISM’s professional work only. Flights, accommodation, venue costs and other agreed external expenses required for delivery are not included. Travel and accommodation arrangements are made only after agreement with the client and are paid directly by the client or reimbursed at actual cost, as stated in the offer. NOVALISM does not arrange or sell transportation, accommodation or other travel services for the client and does not act as a travel organizer.

The professional fee must be paid in full no later than 10 calendar days before the first agreed immersion day. External costs may become payable earlier when a booking must be made. The individual offer may specify earlier deadlines.

If the client cancels the immersion, the following cancellation charges apply:

more than 30 days before the agreed start: no percentage of the professional fee;

15–30 days before the agreed start: 20% of the professional fee;

fewer than 15 days before the agreed start: 50% of the professional fee; and

in every case: all nonrecoverable travel, accommodation, venue and other external costs already incurred or contractually committed with the client’s agreement.

The client may demonstrate that NOVALISM suffered no loss or a substantially lower loss. NOVALISM will deduct expenses genuinely saved and amounts that can reasonably be earned by using the released time for another engagement.

If the client ends the immersion after it has begun, no refund is due for professional time already delivered or reserved for the agreed immersion, subject to mandatory law and any different provision in the individual offer.

The first preparatory call may be recorded only with separate express consent. The live immersion itself is not recorded by NOVALISM.

10. Orientation Calls and live sessions

An Orientation Call is intended to assess fit and possible next steps. It does not obligate either party to enter into a paid engagement.

Free and paid live sessions may have participation rules suited to the session format. Participants must follow reasonable instructions concerning timing, cameras, microphones, chat, confidentiality and respectful participation.

In free sessions with more than 10 participants, participants may generally keep their camera and microphone off unless a particular interactive format is clearly communicated before registration. A participant who does not consent to public media use must keep their camera and microphone off in a session announced as intended for publication, and their identifiable chat contributions will not be intentionally included in the published version.

11. NOVALISM recordings and media use

NOVALISM may record only the sessions described below and only after the participant has received the relevant information and given any consent required for that recording or use.

Confidential working recordings

Orientation Calls, Individual Guidance sessions and the first preparatory call for Private Deliberate Reconstruction may be recorded for maintaining continuity and developing the private client process. Such recordings remain confidential and are not published or used for marketing, courses or public content without new, purpose-specific consent.

Consent to a confidential recording is requested separately from acceptance of these Terms. Refusing recording does not prevent the client from receiving the session. Where a consent covers a defined series of sessions, NOVALISM will still announce the recording before each session begins and provide a practical opportunity to object.

Neurochange group recordings

Neurochange group drawing sessions may be recorded and made available to the relevant members as a replay for seven days. A recording may later be developed into course material only if identifiable participant contributions are removed or every identifiable participant has given separate consent for that specific reuse.

Free sessions intended for publication

A free session intended for YouTube or another public channel will be clearly labeled before registration. Public use of a participant’s image, voice, name, contribution or identifiable chat content requires separate express media consent. A participant who does not give that consent will not be intentionally shown or heard in the published version and may be required to keep their camera and microphone off.

Recording consent and public media consent are not included merely by accepting these Terms. The purpose, audience, channels and intended retention or availability are stated in the separate consent request.

12. Participant recordings and confidentiality

Clients and participants may not make audio, video, screen or photographic recordings of any session, call, course, community space or participant contribution without NOVALISM’s prior written permission and the permission of every identifiable person concerned.

Materials, links and replays provided for a defined group must not be shared outside that group.

In one-to-one work, both parties will treat information shared in the professional relationship as confidential, subject to legal obligations, protection of legal claims, immediate safety concerns and the involvement of service providers necessary to deliver the engagement.

13. Educational nature; no therapy or guaranteed outcome

NOVALISM provides education, guided reflection, visual thinking, creative practice and structured support for deliberate reconstruction. NOVALISM does not provide psychotherapy, psychological or medical diagnosis, medical treatment, crisis intervention, legal advice or financial advice.

NOVALISM does not promise a particular personal, professional, health, emotional or financial outcome. Results depend on many factors, including the participant’s circumstances, choices, participation and implementation.

Participants remain responsible for their decisions and actions. Anyone experiencing a medical or psychological emergency should contact an appropriate local emergency or qualified professional service.

The client must inform NOVALISM of any circumstance that makes a proposed exercise unsafe or unsuitable, without disclosing unnecessary medical details. NOVALISM may pause or decline an activity or engagement if it cannot be provided responsibly within NOVALISM’s professional scope.

14. Intellectual property and permitted use

All NOVALISM course videos, texts, workbooks, prompts, original algorithms, drawings, graphics, recordings, methods, program structures and other materials are protected by applicable intellectual-property law unless stated otherwise.

Purchase or participation grants the named participant a limited, nonexclusive, nontransferable right to use the materials privately for the intended personal learning purpose during the agreed access period. No ownership is transferred.

Without prior written permission, materials may not be copied, reproduced, translated, adapted, sold, licensed, uploaded, published, taught, used to train others, used to create a competing offer, or made available to another person. A business purchase for an employee does not create an organization-wide license.

These Terms claim rights only in NOVALISM materials and original contributions. They do not claim ownership of Neurographica, the method created by Pavel Piskarev, or of third-party material identified as such.

A participant retains ownership of their own drawings and original contributions. Participation does not grant NOVALISM permission to use an identifiable contribution for advertising, publication or course creation. Any such use requires a separate agreement or consent.

15. Platforms, availability and events beyond reasonable control

NOVALISM uses third-party services including WithMe, Stripe, Google and other technical providers. Temporary interruption may occur because of maintenance, security incidents, internet failure, platform changes or circumstances outside NOVALISM’s reasonable control.

NOVALISM will take reasonable steps to restore or provide an appropriate alternative for a materially affected paid service. Brief or immaterial interruptions do not create a refund entitlement. Mandatory consumer rights remain unaffected.

Neither party is responsible for delay caused by an event outside its reasonable control, provided that the affected party informs the other party within a reasonable time and takes reasonable steps to reduce the effect. Payment obligations for services already delivered and agreed nonrecoverable external costs remain unaffected.

16. Cancellation or termination by NOVALISM

NOVALISM may cancel or reschedule a session because of illness, safety concerns, force majeure, technical failure or another serious operational reason. The parties will first attempt to agree on a reasonable replacement. If the affected paid service cannot be delivered within a reasonable time, the client will receive a refund for the undelivered portion.

NOVALISM may terminate or suspend access for a material breach of these Terms, serious misconduct, infringement of another person’s rights, unlawful activity or continued nonpayment after notice. Before terminating a paid contract, NOVALISM will provide a reasonable opportunity to remedy the breach where the breach is capable of remedy and immediate action is not necessary.

Statutory termination rights of both parties remain unaffected.

17. Consumer right of withdrawal and refunds

Consumers entering into a distance or off-premises contract may have a statutory 14-day right of withdrawal. The separate Withdrawal Instructions and Model Withdrawal Form form part of the pre-contract information.

Immediate access, a free trial or an early session does not by itself remove the statutory right of withdrawal. The legal consequences depend on the type of product or service and on the consumer’s separate request, consent and acknowledgment at checkout.

Business clients do not have the statutory consumer withdrawal right.

Except where these Terms, an individual agreement or mandatory law provides otherwise, fees are not refundable merely because a participant changes their mind, does not attend, does not use available access or does not achieve a hoped-for result.

18. Liability

NOVALISM has unlimited liability for intent and gross negligence; for injury to life, body or health; under the German Product Liability Act; for a guarantee expressly given; and in all other cases where liability cannot legally be limited.

For slight negligence, NOVALISM is liable only for breach of an essential contractual duty whose performance is necessary for proper fulfillment of the contract and on whose performance the client may ordinarily rely. In that case, liability is limited to the damage typical for the contract and reasonably foreseeable when the contract was formed.

Subject to the preceding paragraphs, liability for slight negligence is excluded.

These limitations also apply to NOVALISM’s legal representatives and agents. They do not limit mandatory statutory consumer rights or shift responsibility for the participant’s own independent decisions to NOVALISM.

19. Data protection

Personal data is processed as described in the NOVALISM Privacy Policy. Recording and media consent, where required, is requested separately and may be withdrawn for future processing as explained in the relevant consent information.

20. Consumer dispute resolution

NOVALISM is neither willing nor obligated to participate in dispute-resolution proceedings before a consumer arbitration board.

21. Governing law and jurisdiction

German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. If the client is a consumer, this choice of law does not deprive the consumer of mandatory protection provided by the law of the country in which the consumer has their habitual residence.

For merchants, legal entities under public law and special funds under public law, and where otherwise legally permitted, the exclusive place of jurisdiction is the court with jurisdiction for NOVALISM’s registered place of business.

22. Changes to these Terms and final provisions

The version of these Terms provided when the contract is formed applies to that contract. Updated Terms apply to future contracts.

NOVALISM will not change an existing paid contract merely by publishing new Terms. Any change to an ongoing contract requires a contractual or legal basis and the notice, consent or termination rights required by law. The protected price of an uninterrupted membership remains unchanged as stated in Section 6.

If a provision of these Terms is invalid or unenforceable, the remaining provisions remain effective. The applicable statutory rule takes the place of the invalid provision. This does not apply where maintaining the contract would impose an unreasonable hardship on either party.




Part II — Withdrawal Instructions for Consumers

Right of withdrawal

If you are a consumer, you have the right to withdraw from a distance or off-premises contract within 14 days without giving any reason.

The withdrawal period is 14 days from the day the contract is concluded.

To exercise the right of withdrawal, you must inform us:

of your decision to withdraw by an unequivocal statement, for example a letter sent by post or an email. You may use the Model Withdrawal Form below, but it is not mandatory.

To meet the withdrawal deadline, it is sufficient to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from the contract, we will reimburse all payments received from you without undue delay and no later than 14 days after the day on which we receive your withdrawal notice.

We will use the same payment method that you used for the original transaction unless we expressly agree otherwise. You will not incur a fee for the reimbursement.

If you expressly requested that a service begin during the withdrawal period, you must pay a reasonable amount corresponding to the proportion of the service provided up to the time you informed us of the withdrawal, compared with the full scope of the contract.

Early expiry for services

For a paid service, the right of withdrawal expires when the service has been fully performed only if, before performance began, you expressly agreed that NOVALISM could begin before the end of the withdrawal period and confirmed your knowledge that the right of withdrawal would expire when NOVALISM had fully performed the service.

Early expiry for digital content

For paid digital content not supplied on a tangible medium, the right of withdrawal expires when NOVALISM begins performance only if you expressly consented to performance beginning before the end of the withdrawal period, acknowledged that this causes the loss of the right of withdrawal when performance begins, and received the legally required contract confirmation.

If a contract combines digital content and services, the legal consequences may apply separately to the relevant elements.
